ARTICLE I – Name

The name of this organization shall be known as the Gables Residents Association (herein as the GRA).

 

ARTICLE II - Purpose

The purpose of the GRA is to maintain, improve and preserve our neighborhood through public awareness, united efforts and a strong viable membership.

 

ARTICLE III - Membership

Membership in the GRA shall consist and be limited to the residents of the Gables areas (bordered by Stamford Drive (East), Oxford Way (West), Highway #33 (South), Chiswick Court & Stamford Drive (North) amd Fordham Road.

 

ARTICLE IV - Officers and Duties

A.    The Officers of the GRA shall be Chairperson, Vice Chairperson, Recording Secretary, Corresponding Secretary and Treasurer.

 

B.    Duties

a.     Chairperson - shall preside at all meetings, appoint chairpersons, exercise general executive authority between meetings, carry out wishes of GRA, co-sign checks.

b.     Vice Chairperson - Perform all duties of Chairperson in hislher absence, assist Chairperson in implementation of projects, serve as Chair-Concerns Committee.

c.     Recording Secretary - shall keep full and accurate records of the proceedings of the GRA, shall read/submit minutes to the membership.

d.     Corresponding Secretary - shall handle read and respond to all correspondence for the GRA under direction of the Chairperson and membership, serve as Chair Communications Committee.

e.     Treasurer - shall receive all monies and promptly deposit same in the name of GRA in a designated bank account, co-sign checks, pay all authorized expenditures, report at all meetings expenditures, collections and balances, serves as Chair of Finance and Membership Committee.

 

ARTICLE V - Election of Officers

Officers shall be elected by closed ballot, when necessary at the __________ * meeting and assume office immediately *(shall be designated as Annual Meeting).

 

ARTICLE VI - Terms of Office

  1. Officers shall serve a term of two years.

  2. Officers may not serve more than two consecutive terms.

 

ARTICLE VII - Nomination Committee

  1. A Nominating Committee of three members shall be elected at the _______ meeting.

 

  1. The Nominating Committee will present a slate of Officers at the _______ meeting when the election will take place.

 

ARTICLE VIII - Committees

  1. Executive - shall consist of all Officers and Chairpersons of the Standing Committees.

 

  1. The Standing Committees shall be –
    1. Communications (chaired by correspondence secretary)
    2. Concerns (chaired by the Vice Chairperson)
    3. Finance (chaired by Treasurer)
    4. Membership (chaired by Treasurer).

 

ARTICLE IX - Dues of the GRA

Each household within the geographical structure of the GRA shall pay $10.00 (Ten dollars) annually; households are considered in good standing when their annual dues are paid, making them members in good standing.

 

ARTICLE X - Regular and Special Meetings

  1. The GRA shall meet monthly from September through June, location and time determined by the Executive Committee.

 

  1. Special Emergency meetings shall be called by the Chairperson.

 

ARTICLE XI - Amendments

The Bylaws may be amended by two-thirds vote of active members present, provided the proposed amendment shall have been introduced in writing at the previous meeting.

 

ARTIQLE XII - Quorum

A simple majority shall represent a quorum, of members present and seated.

 

ARTICLE XIII - Parliamentary Authority

In matters not provided in these By-Laws, the GRA shall be governed by Robert's Rules of Order.
